Terms of Service

Overview

The following paragraphs capture the essence of rules that would govern the installation and use of Quantireal Inc products. It is a legally-binding contract that you automatically consent to when you create an account with us. Your use of our products is also subjected to the Privacy Policy which describes the data we collect from you and how we use that data. We reserve the right to update/modify this contract from time to time. Notifications of any such changes will be communicated to you via email, our website, our product or any other means available to us giving you reasonably sufficient time to review the changes. If you do not agree to the changes you can choose to close your account with us. On the contrary, by continuing to use our services you are consenting to the updated terms and conditions.

Accounts and Services

Users must register with current and accurate information. If registering as an administrator for other users, then the rules, regulations and terms of service will apply to all the users that the administrator has created an account for. Administrators must be 18 years or older. Administrators/Users can modify some editable settings in their account profiles. Administrators can also control access settings for the users under their purview. Our apps allow you to manage your personal files such as photos, videos, documents and data. Your content is yours and we do not claim ownership of it. You are also responsible for the safety and security of your content. If you choose to share your content with others, remember that it can be redistributed, reformatted or shared with/without your consent or compensating you in anyway. Our services rely on proper and continuous operation of other products and services such as your network connection, storage drives, security devices (such as cameras and routers). You are responsible for providing and maintaining the necessary services and equipment. All online services experience occasional disruption and we are not liable for any loss of data during or due ot these interruptions. It is your responsibility to monitor, restart/reboot the necessary devices or software programs to ensure continuous operation.

Acceptable Use or User Code of Conduct

By creating an account with us, you are agreeing to not engage in any illegal, fradualent, misleading or manipulative activity using our products. Unauthorized sharing of login or account information, licenses, copyrighted material is strictly prhibited. Don't record or store inappropriate content that infringes upon the rights and/or privacy of others. Don't try to circumvent any security features. Do not spam, post software viruses or any malicious code using our services. Do not attempt to reverse engineer, disasemble, decrypt, hack, copy, emulate or try to extract source code for any of our services and products. Do not try to resell your license. Do not use bots or other automated methods to access or use our services or products or interfere with our operations. Users must not engage in activities that will disrupt or interfere with network connectivity such as email-bombing, flood pings, packet spoofing, etc. Violating the above terms may result in your account being suspended or closed. Accounts which have been in-active for over a year may be suspended.

Software licenses

Agreeing to these terms and conditions gives you the right to install one copy of the software QuICK per device per person. The software license is non-transferable and should not be re-distributed, resold, sublicensed or distributed in any form. If you sell your device, you must remove the licensed application and uninstall all Quantireal Inc products, before doing so.

Child account

Anyone over the age of 13 can create an account with Quantireal Inc. However, you must be 18 years or older to have an administrator account.

Family sharing

Users may share resources such as storage devices with family members residing in the same city. It is the sole responsibility of the user to ensure that his/her data privacy from other members of the family is ensured by using appropriate configuration options provided in the apps and/or the platform. Quantireal Inc is not liable for any intentional or un-intentional violation of data privacy among family/team members.

Payment Terms

The price stated for the apps do not include taxes or fees. If you purchase any of our paid apps, you agree to pay all applicable fees and taxes in a timely manner. For services rendered on a subscription basis, you agree to authorize us for recurring payments. Payments will continue until the subscription is terminated. All payments must be made in ahead of the start of subscription period. We reserve the right to collect any penalties incurred due to insufficient funds on your part or denied or rejected transactions. A bill and/or receipt of your payment will be available on your Quantireal Inc account. If you notice any errors in billing, you must bring it to our attention within 90 days after the first error appears on your bill. All purchases are final and non-refundable. You may cancel your subscription at any time with or without reason. You may also close your account with us at any time with or without reason. Cancellation charges may be applicable. Quantireal Inc may have promotional offers from time to time. If you are found to be in violation or breach of the terms and conditions of the promotional offer, we reserve the right to charge you for such services at the normal rate. If you participate in any trial-period offers, it is your responsibility to communicate your intent of continuation of the particular service or sign up for automatic renewal or subscription. Quantireal Inc will not be responsible for any loss of data or business due to service interruptions past the trial-period or promotional period.

Warranties, Disclaimers and Limitations of Liability

Quantireal Inc makes no warranties and/or guarantees, express or implied with respect to our products and/or services. All software is provided on an “AS IS” basis. The user/customer bears the complete risk of using the software and/or service. While it is our foremost intention to provide robust, reliable software, we do not guarantee the accuracy, reliability or timeliness of the software or services. It is imperative you understand and acknowledge that software, software systems including, but not limited to networking and telecommunications are not error-free and fault-tolerant. We do not guarantee fully secure, error-free, uninterrupted service. We do not assume responsibility and will not be liable for any loss of data or business, due to errors in our software. We do not assume any responsibility for the loss of your content. We do not make any backups of your data on our servers. So user/customer bears the responsibility of all hardware and software interruptions.

To use our services you will need to use compatible hardware such as your own computers, servers, laptops, tablets, routers, security cameras, storage devices and other essential and peripheral devices as well as third-party software such as operating systems. By using our services, you agree we are not liable for any malfunctioning, loss of device or data, damages to any of your devices or data, data corruption or charges incurred due to malfunctioning devices or software, loss or corruption of data or device. We are not liable for the upkeep and maintenance of the compatible hardware and software and any losses resulting from the use or misuse of such hardware and software. You expressly agree that your use of our services and software is at your sole risk.

Some of our software or services may require you to do port forwarding to avail of the full spectrum of the services. We are not liable for any security vulnerabilities that port forwarding may expose to you.

Quantireal Inc is not liable for any data charges you may incur as a result of using our services.

Termination and Cancellation Policy

You can choose to terminate use of our apps and/or services at anytime by closing your account and uninstalling the QuICK software. Any licenses already purchased will not be refunded. Canceling your account with us may result in the loss of certain data such as registration information, account information, purchase history, etc.

Quantireal Inc may terminate this agreement, terminate you license to our software and/or preclude access to our services, with or without notice to you, if you fail to comply with the terms in this “Terms of Service” document or we suspect that you have failed to comply with these terms.

Quantireal Inc further reserves the right to modify, suspend, or discontinue the Services (or any part or Content thereof) at any time with or without notice to you, and Quantireal Inc will not be liable to you or to any third party should it exercise such rights.

Dispute Resolution

We would like to resolve issues quickly and amicably. So if an issue arises, please contact our customer support team at support@quantireal.com. Occasionally a situation may arise, where you or Quantireal Inc may choose to pursue a legal route. In that situation the following terms will apply.

Governing Law

Any dispute or claim by you arising out of these terms shall be governed by the laws of the state of California. You agree, for any dispute or claim arising out of these terms, to submit to the personal and exclusive jurisdiction of the courts of Santa Clara county.

Idemnity and Waiver

You agree to defend, indemnify, and hold harmless Quantireal Inc, its affiliates, and licensors, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) resulting from your violation of these Terms.

You agree that you shall not sue or recover any damages from Quantireal Inc, its affiliates, and licensors, and their respective officers, directors, employees, contractors, agents, licensors, and suppliers as a result of its decision to suspend or terminate your access to the services due to your violation of these terms or services.

In addition, you agree to comply with all local, state, federal, and national laws, statutes, ordinances, and regulations that apply to your use of our Software and Services.
